1.About the Service
CEDIMAKER is a digital legacy management platform. We help you catalogue assets, prepare draft wills, store sensitive documents in a secure vault, designate beneficiaries and executors, run a heartbeat protocol, and discover Ghanaian legal partners.
CEDIMAKER is not a law firm and does not provide legal advice. We provide tools and infrastructure. Where legal review is required — particularly for the validity of a will under Ghanaian law — you must engage a qualified Ghanaian lawyer. See the Legal Disclaimer for details.
2.Eligibility
- You must be at least 18 years of age.
- You must be of sound mind and acting voluntarily when creating and signing a will on the platform.
- You must have a verifiable Ghanaian phone number and either reside in Ghana, hold Ghanaian citizenship, or have assets, beneficiaries, or executors located in Ghana.
- You agree to provide accurate, current, and complete information during registration and to keep it up to date.
3.Your account
3.1 One account per person
You may hold only one personal account. Phone numbers and email addresses are unique — you cannot register a second account on the same phone or email. The account is personal to you and must not be shared.
3.2 Identity verification
We collect a Ghana national identification number (Ghana Card or equivalent) to verify your identity and to seed will-related identity fields. Providing false identity information is a material breach of these Terms and may also be a criminal offence.
3.3 Securing your account
- Choose a strong password and enable multi-factor authentication.
- Keep your phone number and email up to date so we can deliver one-time passwords and security alerts.
- You are responsible for all activity on your account except where caused by our negligence.
- Notify us at legacy@cedimaker.com immediately if you suspect unauthorised access.
3.4 Roles
Different roles (Citizen, Beneficiary, Executor, Lawyer, Law Firm Administrator, Support Agent, Administrator) grant different features. Your role is set by us or by a permitted administrator and cannot be self-elected.
4.Plans, payments, and refunds
Plan tiers, features, and prices are listed on our pricing page. By subscribing you authorise us to charge the fees indicated, including any add-ons you select.
- Recurring monthly charges are taken on the same calendar date each month and continue until you cancel.
- One-time fees are non-refundable once a will has been signed, executed, or had legal hold applied.
- We may change pricing for future billing cycles on at least 30 days’ notice. The new price applies after that period; if you do not accept it, you may cancel before it takes effect.
- Late or failed payments may result in suspension of the Service after a reasonable cure period. Documents and wills already stored remain protected and accessible to you for at least 60 days after suspension.
- Taxes and statutory charges (including any applicable VAT or levies under Ghanaian law) are added at the displayed price unless stated otherwise.
5.Acceptable use
You agree not to:
- Upload content that is unlawful, fraudulent, defamatory, or infringes any third party’s rights.
- Attempt to register or operate the account of another person without their authority.
- Probe, scan, or test the vulnerability of the Service except through a programme we expressly invite you into.
- Bypass authentication, rate limits, or any other access controls.
- Use the Service to send malware, viruses, or any code intended to disrupt the platform.
- Resell, sub-license, or build a competing product that substantially replicates the Service.
- Upload files that exceed the 25 MB per-file limit, attempt to store more than your plan allows, or upload content unrelated to legitimate legacy planning.
6.Your content and data
6.1 Ownership
You own the content you upload, including documents, draft wills, and asset records. We do not claim ownership.
6.2 Licence to operate the Service
You grant CEDIMAKER a limited, non-exclusive, royalty-free licence to host, store, scan for malware, transmit, display, and back up your content solely to deliver the Service to you and the people you nominate. This licence ends when you delete the content or close your account, except where retention is required by law or a legal hold (see Section 6.4).
6.3 Accuracy is your responsibility
You are responsible for the accuracy of every field you enter, every document you upload, and every person you nominate. Errors in beneficiary identity, share percentages, witness details, or executor contact information can have serious legal consequences for your estate.
6.4 Legal hold
When a will is signed, when an asset is allocated under a signed will, or when a court order requires preservation, the related records are placed under legal hold. While a legal hold is active, the affected records cannot be deleted by you, even on account closure, until the hold is released.
7.Wills — what we do and do not do
The Service generates a structured draft will based on the information you supply. Under Ghanaian law (Wills Act, 1971 (Act 360)), a valid will must be in writing, signed by the testator, and witnessed by at least two competent witnesses present at the same time.
What CEDIMAKER provides:
- A structured draft will assembled from your inputs.
- A printable PDF you can print for physical execution.
- A witness workflow that captures witness names, identification, and signing timestamps.
- Secure storage of the executed copy you upload.
What CEDIMAKER does not do:
- We do not provide legal advice on whether your will achieves your wishes or complies with all applicable Ghanaian law.
- We do not act as witness or executor and do not certify that your will is valid.
- We do not file your will with any court or government body. You remain responsible for any registration required by law.
We strongly recommend engaging a Ghanaian lawyer through our legal partners directory or a counsel of your choosing to review your will before execution. See the Legal Disclaimer for the full notice.
8.Heartbeat protocol
The heartbeat protocol periodically asks you to confirm activity. If you miss three consecutive check-ins, the system enters escalation and contacts the people you nominated (primary contact, next-of-kin, executor, and finally the law firm tied to your account) over the channels you configured.
A missed heartbeat does not legally trigger probate, transfer assets, or alter your will. It is a notification mechanism. You may pause or deactivate the protocol at any time in your settings. By enabling it, you authorise CEDIMAKER to message your nominated contacts on your behalf.
9.Document vault
- Files are limited to 25 MB each.
- Every uploaded file is scanned for malware before it is stored for retrieval. Files identified as malicious are quarantined and never released for download.
- Download links are short-lived (15 minutes) and tied to your authenticated session.
- Files placed under legal hold cannot be deleted until the hold is released.
10.Legal partners directory
We list independent Ghanaian lawyers and law firms in a public directory. CEDIMAKER does not employ these legal partners, does not control their advice, and does not guarantee outcomes. Any engagement you enter with a legal partner is a separate professional relationship between you and that partner. We may verify, suspend, or remove partners from the directory at our discretion based on conduct or compliance with our partner requirements.
11.Suspension and termination
You may close your account at any time from your settings or by writing to legacy@cedimaker.com. Closure does not waive obligations that have already accrued (e.g. unpaid fees) or override active legal holds.
We may suspend or terminate your access where:
- You materially breach these Terms or our Acceptable Use rules.
- We are required to do so by law or court order.
- Continued operation of your account would expose CEDIMAKER or other users to undue legal, security, or reputational risk.
Where practicable we will give you notice and a chance to cure before termination. On termination, our retention rules in the Privacy Policy apply.
12.Service availability and changes
We aim for high availability but do not promise an uninterrupted Service. Maintenance windows, third-party outages, force majeure events, and security incidents can interrupt access. We may modify or discontinue features on reasonable notice, except where a feature must be removed urgently for security or legal reasons.
13.Intellectual property
The Service, including its software, design, branding, copy, icons, and trademarks (CEDIMAKER, the cedi-coin mark, “Imagine Impossibilities”, and related marks) is owned by CEDIMAKER and protected by Ghanaian and international law. We grant you a limited, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted.
14.Warranty disclaimer
The Service is provided “as is” and“as available”. To the fullest extent permitted by Ghanaian law, we disclaim all warranties not expressly given in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any draft will, asset listing, beneficiary designation, or document produced through the Service will be accepted by a court, registrar, or counter-party.
15.Limitation of liability
To the fullest extent permitted by law, CEDIMAKER, its directors, officers, employees, and affiliates are not liable for:
- Indirect, incidental, special, consequential, or punitive losses, including loss of profits, loss of opportunity, loss of inheritance, or loss of data.
- Disputes between you and any beneficiary, executor, witness, relative, lawyer, or law firm.
- Any failure of a will, asset listing, or document to achieve a particular legal outcome.
- Outages or delays caused by sub-processors or events outside our reasonable control.
Where liability cannot be excluded by law, our total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the fees you paid CEDIMAKER in the 12 months before the event giving rise to the claim, or (b) GHS 1,000.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under Ghanaian law.
16.Indemnity
You agree to indemnify and hold CEDIMAKER harmless from any claim, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) content you upload, (c) your interactions with beneficiaries, executors, witnesses, or legal partners, or (d) your use of the Service in violation of Ghanaian law.
17.Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app banner at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not accept them, you may close your account before they take effect.
18.Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana. The courts of Ghana have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
Before issuing court proceedings you agree to attempt good-faith resolution by writing to legacy@cedimaker.com and giving us 30 days to respond.
19.General
- Severability: if any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment: you may not assign these Terms without our consent. We may assign them to an affiliate or successor in connection with a merger, acquisition, or sale.
- Entire agreement: these Terms, the Privacy Policy, and any plan-specific terms you accept form the complete agreement between you and CEDIMAKER.
- Notices: notices to CEDIMAKER must be sent to legacy@cedimaker.com. Notices to you may be sent to your registered email or phone number, or shown in-app.
